Corporate & Commercial
James joined Appleby in January 2008 as an Associate in the Corporate and Commercial Practice Group of the British Virgin Islands, and in April 2010 became a Consultant to Appleby BVI. James specialises in international banking and finance law, corporate governance and compliance, mergers and acquisitions, and insurance. During his time at Appleby, he has advised to a host of major financial institutions, multi-national corporations and investment advisers. In the past two years, he has worked on some of the biggest corporate deals handled by Appleby’s BVI office.
He previously worked for top-tier Australian law firm Allens Arthur Robinson, and also completed a Ph.D. in corporate law at Deakin University Law School in Melbourne, Australia. His published work include the books, Shareholder Participation and the Corporation (Routledge, London, 2006) and Principles of Contemporary Corporate Governance (Cambridge University Press, New York, 2005, co-author).
Representative work whilst at Appleby:
Corporate/M&A
• advising a major oil and gas company on the acquisition of two oil rigs offshore India by a BVI-incorporated subsidiary, with an estimated value of US$5 billion.
• advising a private equity consortium acquiring global offshore services company with numerous BVI-registered entities. Estimated value of transaction US$2 billion.
• BVI counsel to an Eastern European client in relation to a share reorganisation and redemption scheme involving a BVI company worth US$200 million.
• advising the purchaser, a leading European logistics company based in Finland, in relation to the US$330 million acquisition of the leading Russian warehousing services provider.
• BVI counsel to an upstream exploration and production company on the BVI aspects of a complex US$200 million multi-jurisdictional group restructuring involving, inter alia, the transfer of shares in BVI group companies to newly established UK group companies, in return for various forms of financial (dividends, promissory notes) to the UK companies.
Banking and Asset Finance
• advising international bank based in New York City on a US$1.5 billion investment (in three tranches) into Latin America involving a BVI-incorporated subsidiary of one of the world’s largest retailing groups.
• BVI counsel to a UK magic circle firm advising an international investment bank on a US$1.5 billion ISDA documented interest rate swap transaction with a BVI-incorporated counterparty.
• advising a Netherlands-based bank on the refinancing (guaranteed by BVI-incorporated subsidiaries) of a US$600 million revolving credit facility.
• BVI counsel to a major Asian development corporation with associated BVI companies as co-borrower and corporate guarantor in relation to a refinancing of a syndicated US$130 million loan, with a Taiwanese bank as facility and security agent.
• advising a Moscow-based investment bank acting as manager in a US$250 million Note Issue, guaranteed by a BVI company.
• advising a Latin American telecommunications company raising in excess of US$170 billion through a notes issue, guaranteed by a number of BVI holding and subsidiary companies.
• BVI counsel to global investment bank in relation to a US$70 million syndicated loan facility to finance a Latin American electricity infrastructure project, the loan guaranteed by a BVI company.
